It is proposed to amend the California Youth Soccer
Association, Inc.’s Constitution and Bylaws sections 1:07:04 and
2:06:03 as follows:
Current:
1:07:04 Each affiliated league, each of its
registered teams, and each member of the Board of Directors shall be
entitled to one (1) one vote. Voting shall be restricted to those
affiliated leagues and their registered teams which have been
registered during the current season. Voting by proxy shall not be
allowed and only those members of record, in good standing, shall be
entitled to voting privileges. No person shall cast more than (1)
one vote, regardless of his/her affiliation with league(s), team(s)
and/or as a member of the Board of Directors. The Chairman of this
Association shall cast a vote only in case of a tie.
Proposed:

calendar day before the date of the Annual Meeting, properly
registered, including the payment of registration fees, and in good
standing with the affiliated league and with CYSA. Voting

Voting by proxy shall not be allowed and only those members of
record, in good standing, shall be entitled to voting privileges.

Justification:
CYSA’s existing voting procedures are flawed. At the
Annual General Meeting (AGM) those eligible to vote are teams,
leagues, and the board of directors. The voting is not democratic
because it is not representative. The members of CYSA are the
leagues. (CYSA Constitution & Bylaws, § 1:05.) But under our
existing voting system for the AGM, the vote of one person from one
team can completely nullify the vote of a league that represents not
only thousands of players but the full range of youth soccer
interests as well. The vote of just two persons, one of each of two
teams, can make the vote of a league, the actual member of CYSA,
meaningless. Thus, the votes of those who represent thousands count
no more than one person from one team.
The above bylaw amendments represent an effort to
revise the voting structure in CYSA to make it more representative
of all elements of CYSA and youth soccer. The amendments adopt the
approach of representative democracy, the approach followed in our
government for the election of members of our legislatures such as
Congress and, if adopted, would make our voting system similar to
other non-profit charitable organizations, including other youth
soccer state associations. Under these amendments, the league,
which would vote at the AGM by its president or other official
designated by the league, would have one vote for every 500 players
or fraction of 500 players. The voting for District Commissioner is
modified so that the same procedure applies.
These proposed amendments provide a realistic and
workable means of making CYSA truly representative of its
constituents. Vesting only the affiliated leagues (which does not
include “playing leagues”) with the voting rights at the AGM and
with the authority to elect District Commissioners (which does not
include “playing leagues”) based on the number of registered players
insures that the actual representatives of the players and parents,
the elected leagues, are voting and that their voting power is
apportioned according to the number of players they represent. The
result is a much fairer, coherent, and democratically representative
process for all of CYSA.

Justification:
The justification for this proposed rule change is
more fully stated in the justification for Rule Change Proposal # 1
above. This proposed amendment differs from Proposal # 1 by not
including the proposed modification to the voting for District
Commissioner that is in Proposal # 1.

Approving Policy
Interpretation Memoranda (PIM’s). PIMs and changes to existing
PIMs must be approved by a majority of Board of Director voting
members. PIMs and any modifications must be clarifications of the
existing Constitution, Bylaws, General Procedures and Specific
Rules. The BOD does not have the authority to create new
Constitution paragraphs, Bylaws, General Procedures or Specific
Rules through the PIM process other than by the authority granted
in 2:01:02F.
Justification:
The number of Policy Interpretation Memoranda has
grown over the years. Nowhere in the Constitution, Bylaws, General
Procedures, or Specific Rules are procedures stated for the use of
PIMs. To avoid the potential for PIMs to become a means to make
Constitution, Bylaw, General Procedure, or Specific Rule changes
without a vote at an Annual General Meeting, the use of PIMs should
be defined and properly limited.
